Introduction
These Terms of Use ("Terms") govern access to and use of the early access and beta version of the platform, applications, websites, and related services (collectively, the "Platform") operated by Venture Collectives Co. ("Venture Collectives," "we," "us," or "our").
By accessing or using the Platform, creating an account, joining or requesting to join a collective, or otherwise participating in early access or beta testing, you ("you," "User," or "Member") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Platform.
If you are accessing the Platform on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
Early Access / Beta Status
Open Signup, Gated Collectives and Features. Account signup for the Platform is currently open — anyone eligible under these Terms can create an account. However, the Platform remains in early access and beta, and access to specific collectives, and to select features within them, is invitation-gated: you may need an invitation, request approval, or other authorization from us or from the relevant collective operator before you can join a given collective or use certain gated features. Gating decisions are made at our (or, where applicable, the collective operator's) sole discretion, may be limited in scope, and may be modified, suspended, paused, or revoked at any time without notice or liability.
Not a Finished Product. The Platform is under active development. Features, functionality, workflows, terminology, user interfaces, data structures, and pricing are incomplete, experimental, and subject to change, removal, or reversal at any time without notice. Some features described in marketing materials, documentation, or communications may not yet be active, may be partially active, may behave differently than described, or may never be released.
No Warranty of Availability or Performance. During early access and beta, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis (see "Disclaimers" below). You should expect bugs, downtime, data resets, incomplete features, and behavior changes. You should not rely on the Platform for mission-critical, time-sensitive, or regulated activity during this period.
Feedback. If you provide suggestions, feedback, bug reports, or ideas about the Platform ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without compensation or attribution to you.
Confidentiality of Beta Access. Unless we tell you otherwise in writing, your access to the early access program, and any non-public features, designs, roadmaps, or communications you receive as part of it, are confidential. You agree not to publicly disclose, demo, screenshot for external distribution, or share access credentials without our prior written consent.
Program Changes. We may change the scope, terms, or availability of the early access or beta program, move features between "active" and "in development" status, grant, restrict, or revoke access to specific collectives or gated features, or end the program at any time.
Eligibility and Accounts
Eligibility. You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. The Platform is not directed at children, and we do not knowingly permit use by anyone under 18.
Account Registration. You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Verification and Collective Access. Account creation does not require an invitation. However, we (or a collective operator, where applicable) may require verification of identity or eligibility before granting, continuing, or restoring your access to a specific collective or a gated feature, and may decline or revoke that access at our or the collective operator's discretion, independent of your underlying account.
Geographic Availability. Venture Collectives Co. is based in Canada, and the Platform is currently made available to Canadian-based Users. We intend to expand availability to additional markets over time, and features, fee structures, tax treatment, and regulatory obligations (including those referenced in "Description of Platform Features" and "Not a Securities Platform") may vary by market as that expansion occurs. Access from outside Canada during the current phase is not guaranteed, may be limited or unsupported, and does not create any obligation on our part to support that jurisdiction going forward. We will update this section as availability expands to other markets.
Description of Platform Features
The Platform is organized around member-driven communities ("collectives") and related tools. Feature availability during early access is described below and may change without notice. Nothing in this section is a commitment that any feature will be available on any timeline. Note that some of the features below (including spaces, which live inside collectives) may still require you to join or be granted access to a specific collective first, even where account signup itself is open — see "Verification and Collective Access" above.
Currently Available / Open Features. Subject to ongoing development and change, the following categories of features are generally open for use during early access:
Creating and managing member and organization profiles
Creating and participating in spaces (collective community areas)
Creating and managing projects
Creating, publishing, and attending events
Browsing, listing, and managing catalogs (of offerings, services, or listings)
Using venture building tools, including journeys, plans, goals, sequences, canvases, and timelines
These features may still contain bugs, incomplete functionality, or placeholder content, and may be reset, migrated, or modified without notice during the early access period.
Features In Development / Not Fully Activated. Certain platform capabilities are in development, partially built, gated, or not yet activated, including but not limited to peer-to-peer (P2P) and marketplace-style functionality such as:
Crowdfunding or capital-raising workflows
Special purpose vehicle (SPV) creation or administration tools
Fund contribution, pledging, escrow, or fund-handling features
Other transactional, payment, or capital-formation tools referenced in product materials
These features may be visible in the interface, described in documentation, or referenced in communications before they are functional. Availability of any such feature is subject to further development, internal review, and applicable regulatory approval, licensing, or registration, and may not launch in the form described, on any particular timeline, or at all. We may enable these features on a limited, jurisdiction-restricted, or invitation-only basis.
No Guarantee of Feature Parity. Different Users may see different features enabled at different times as part of phased or limited rollouts. This does not constitute a breach of these Terms or any representation about your account.
Member Types and Collective Structures
The Platform supports multiple member types (including builders, operators/experts, and investors/funders, as such categories may evolve) and multiple collective structures (including platform-operated, partner-led, and member-led models, as such categories may evolve). Descriptions of these categories, and any associated economics, terms, or governance, are subject to change and, where set out in separate agreements (such as founder or collective agreements), those separate agreements govern in the event of conflict with these Terms.
User Conduct
You agree not to:
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
Misrepresent your identity, credentials, or authority to act on behalf of an organization;
Use the Platform to offer, solicit, or facilitate securities transactions in violation of applicable securities law;
Upload or transmit content that is fraudulent, defamatory, infringing, harassing, or otherwise harmful;
Attempt to reverse-engineer, scrape, or interfere with the Platform's operation or security;
Circumvent access controls, invitation gating, or feature restrictions;
Use the Platform to launder money or facilitate any other financial crime;
Publicly disclose non-public early access features, credentials, or communications in violation of the confidentiality commitments in "Early Access / Beta Status" above.
We may investigate suspected violations and take action including warning, suspending, or terminating accounts, removing content, and reporting conduct to authorities where required or appropriate.
User Content
Ownership. You retain ownership of content you submit, post, or upload to the Platform ("User Content"), including profile information, project details, catalog listings, and event content.
License to Us. You grant Venture Collectives a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your User Content solely as necessary to operate, provide, and improve the Platform, including displaying it to other Users as intended by your use of the relevant feature.
Responsibility. You are solely responsible for your User Content and represent that you have all necessary rights to submit it and that it does not violate any law or third-party right.
Removal. We may remove or disable access to User Content that we believe, in our discretion, violates these Terms or applicable law, or that we determine is appropriate to remove given the early access status of the Platform.
Fees
Certain features may involve fees (such as membership fees, engagement/booking fees, or platform fees on transactions), which will be disclosed at the point of the relevant transaction. During early access, fee structures are subject to change, and certain features may be offered free of charge on a temporary or promotional basis with no obligation to continue doing so.
For Operators and Experts
This section applies to Users who provide paid or unpaid expertise, coaching, advisory, or service offerings through the Platform (referred to in this section as "Experts" or "Operators"), including through Sessions listed in a catalog and delivered via Bookings.
Independent Contractor Status. Experts provide their services as independent contractors. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between Venture Collectives and any Expert. Experts are solely responsible for their own taxes, business registrations, licensing, and any regulatory or professional-body requirements applicable in their jurisdiction and field of expertise. Experts must also comply with any applicable code of conduct we publish for Operators [link/insert if and when published].
Engagements, Sessions, Bookings, and Orders. Where an Expert offers services on the Platform:
The Expert's offering is listed as a Session (a catalog entry describing the offering, price, duration, and format);
A mentee, builder, or other member reserves time with the Expert through a Booking (which spans reservation through completion);
Payment for a Booking is recorded as an Order;
The ongoing relationship between the Expert and the other party across multiple Sessions, Bookings, or Orders is tracked as an Engagement.
Expert Fees and Payouts. Fees payable to an Expert, and the platform's share of any fee, depend on the collective structure under which the Expert is operating and offering their Session:
In-house / platform-owned collectives: membership and platform fees are retained in full by Venture Collectives; any Expert compensation arrangement for these collectives is set out separately with the Expert.
Managed / partner-led collectives: revenue from Orders is generally split with a majority share retained by the collective operator/partner and the remainder retained by Venture Collectives as a platform fee, as agreed with the relevant collective operator.
Member-led / self-operated collectives: revenue from Orders is generally split evenly between the collective (or Expert) and Venture Collectives as a platform fee.
The applicable split, and the specific fee for a given Session, will be disclosed to the Expert before their Session is listed and before it is booked by another User. Fees are listed in CAD and quoted per Session. Where a mentee, builder, or other User pays for a Booking, we (or the relevant collective operator, where applicable) collect the payment, retain the applicable platform fee or split, and remit the remaining amount to the Expert via Stripe. Platform and service fees are non-refundable except as required by law or expressly stated at checkout. We will give Experts written notice before any change to fees, revenue splits, or payment methods that affects them.
How Experts Are Ranked and Surfaced. We may present and rank Experts across the Platform — including in search results, catalog pages, and featured placements — based on factors that may include: relevance to a User's stated needs and search terms; the Expert's expertise, topic tags, and collective affiliation; availability and responsiveness; review volume and ratings; and profile and catalog completeness. We may give greater prominence to Experts who meet quality, activity, or engagement criteria we set from time to time. We do not accept payment from Experts in exchange for higher ranking or placement.
Restricting, Suspending, or Terminating an Expert's Access. Where we decide to restrict, suspend, or terminate an Expert's ability to list Sessions or receive Bookings, we will provide a statement of reasons. Except where we are under a legal obligation, the Expert has repeatedly breached these Terms, or there is an immediate risk to Users, the Platform, or third parties, we will give the Expert at least 30 days' notice before terminating their access on this basis.
Expert Complaints. Experts may raise complaints about our compliance with this Section by contacting help@venturecollectives.co. We will consider complaints in good faith and respond within a reasonable time, free of charge. If a complaint cannot be resolved internally, Experts may pursue any dispute resolution process available under "General Terms" below, without affecting either party's right to bring legal proceedings.
No Employment or Benefits. Experts are not entitled to employee benefits, insurance, equity, or other compensation from Venture Collectives beyond the fees described in this Section, unless separately agreed in writing (for example, under a founder or collective agreement).
Not a Securities Platform
No Securities Activity. Venture Collectives does not trade, offer, sell, issue, underwrite, broker, manage, or provide advice regarding securities of any kind on the Platform. The Platform is not a securities exchange, broker-dealer, alternative trading system, investment adviser, or crowdfunding portal, and nothing on the Platform should be construed as an offer to buy or sell securities.
Money and Transaction Handling, Not Investment Management. Where the Platform facilitates the movement of funds between Users (for example, via escrow, pledging, or payment processing), Venture Collectives acts solely as a technology and transaction facilitator. We do not manage, direct, or advise on the investment of any funds, and we do not take an economic or ownership interest in any underlying deal, venture, or security that may be discussed, arranged, or documented off-platform.
Off-Platform Securities Transactions. To the extent Users engage in any transaction involving securities (including equity, convertible instruments, SAFEs, revenue share agreements, or fund interests), any such transaction is negotiated, documented, and executed entirely outside the Platform between the Users involved, using their own legal counsel and compliance processes. Venture Collectives is not a party to, and assumes no responsibility for, the legality, suitability, or enforceability of any such off-platform transaction.
No Investment Advice. Nothing on the Platform constitutes legal, tax, financial, or investment advice. Any information, template, tool, or communication provided through the Platform is for general informational purposes only. You should consult your own qualified advisors before making any financial, investment, or legal decision.
Regulatory Approval Contingency. Any current or future feature related to capital formation, fund pooling, crowdfunding, or SPV facilitation will only be made generally available to the extent, and in the manner, permitted by applicable law, and may require licensing, registration, or regulatory approval that has not yet been obtained. We make no representation as to when or whether such approval will be obtained.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Platform will be uninterrupted, secure, error-free, or that any particular feature (including any feature described as "in development" in "Description of Platform Features") will become available. Given the early access and beta status of the Platform, you acknowledge heightened risk of bugs, data loss, downtime, and feature changes, and you agree to use the Platform accordingly.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENTURE COLLECTIVES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Venture Collectives and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, your violation of these Terms, or your violation of any applicable law or third-party right, including any off-platform securities or capital-raising transaction you engage in.
Termination
We may suspend or terminate your access to the Platform, including your early access/beta participation, at any time, with or without cause or notice, particularly given the experimental nature of the program. You may stop using the Platform and request account deletion at any time by contacting us. Sections of these Terms that by their nature should survive termination (including "Not a Securities Platform," "For Operators / Experts," "License to Us" under User Content, "Disclaimers," "Limitation of Liability," "Indemnification," and "General Terms") will survive.
Changes to These Terms
We may modify these Terms at any time, particularly as the Platform moves from early access toward general availability. We will make reasonable efforts to notify Users of material changes (such as by posting an updated version with a new "Last updated" date or by direct communication). Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
General Terms
Governing Law. These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Entire Agreement. These Terms, together with the Privacy Policy and any other agreements referenced herein (such as founder or collective agreements where applicable), constitute the entire agreement between you and Venture Collectives regarding the Platform.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
